The challenge
A foreign entrepreneur came to us with a clear objective: to enter the European market through a Czech legal entity. The client did not speak Czech, had no prior experience with local authorities, and was not prepared to spend time on personal trips.
The request was straightforward: receive a fully registered, operational company – without having to navigate legal details or bureaucratic procedures independently.
Key requirements:
- operate with European counterparties through a reliable legal structure
- register the company remotely, without travelling to the Czech Republic
- avoid dealing with document translations and direct communication with authorities
- complete the registration as quickly as possible
Our approach
We took ownership of the entire process — from the initial consultation to handing over the completed document package. The client was only required to provide basic information and sign the documents we prepared.
Analysis and Structuring
At the first consultation, we reviewed the client’s business plans for the European market, determined the optimal corporate structure, agreed on the company’s business activities, and verified the availability of the chosen company name. The outcome was a clear action plan with defined timelines.
Document preparation
All documents were prepared by the AMS team without any involvement from the client:
- articles of association and company charter
- powers of attorney for remote representation
- declarations from the director and founder
- documents for licensing and tax registration
- full corporate documentation package
Notarial Procedures
We arranged all notarial procedures remotely: prepared the notarial deed and founding documents, and ensured their correct execution — without requiring the client’s physical presence in the Czech Republic.
Registration with Government Authorities
The AMS team completed the full cycle of registration procedures:
- registration in the Czech Commercial Register (Obchodní rejstřík)
- obtaining the company identification number (IČO)
- registration in the Trade Licensing Register (Živnostenský rejstřík)
- registration of the ultimate beneficial owner
- registration with the Czech Tax Authority
THE RESULT
Delivered in 7 business
days
The company was registered within 7 business days from the moment the full document package was received. The client received a fully operational EU legal entity: all registries completed, tax registration finalised, and corporate documentation in order.
In the next phase, AMS supported the opening of a corporate bank account and took on ongoing accounting services for the company. The company is now actively operating on the European market.
